SUBJECT

The aim of this document is to define the terms of use that apply to any person (hereinafter “User(s)”) accessing and visiting the Ilex website (hereinafter designated as “the Site”).

Ilex makes the Site available to Users in order to inform them about its activities, its products, its offerings and services as well as its latest news and events. Users undertake to use this Site solely in accordance with its purpose.

Ilex reserves the right to modify, at any time and without prior notice, the information contained on the Site concerning its activities. Such information is provided for general information purposes, with no guarantee that it is fit for a particular use.

MODIFICATIONS

Ilex reserves the right to modify these terms of use at any time and without prior notice. In such a case, the modified terms of use will take effect from the date they are placed online.

Users are therefore recommended to read these terms of use regularly. Users are deemed to have accepted the latest version each time they connect to the Site.

INTELLECTUAL PROPERTY

The Site as well as all of the published components of the Site, in particular any graphics, icons, images, designs, presentations, texts, illustrations, infographics, photographs, tree structures, sounds, videos, animated sequences (with or without sound), logos, software, databases and, more generally, any other document or information available on the Site as well as their layout are the exclusive property of Ilex, and/or, where appropriate, of its licensors or partners, and as such are protected by intellectual property law or by the provisions relating to image rights.

As such, any commercial use, representation, reproduction, adaptation, translation, transformation, distribution and/or re-distribution, whether total or partial, by any means whatsoever, of the Site and/or of its components, as well as any transfer to another website without Ilex’s prior written consent, are strictly prohibited, in accordance with the provisions of Article L.122-4 of the French Intellectual Property Code.

Violation of this ban may constitute an infringement under Article L.713-2 of the French Intellectual Property Code, for which the infringer may be held civilly and criminally liable. The criminal penalties arise from the application of Articles L.335-2 et seq. of the French Intellectual Property Code. Ilex accepts no civil liability in the case of fraudulent use of all or part of its Site.

Similarly, any representation, reuse, reproduction, extraction, storage, distribution and re-distribution, whether total or partial, on any medium, of the database(s) on the Site is prohibited pursuant to the provisions of Law 98-536 of 1st July 1998 transposing European Directive 96/9/EC of 11 March 1996 on the legal protection of databases into the French Intellectual Property Code.

In addition, the corporate names, trade names, trademarks and logos contained on the Site are the property of Ilex, its partners, clients or shareholders, and may not be used without the express consent of Ilex or the owner of the logo or trade mark concerned. As such, any person who displays, reproduces, distributes or re-distributes such names, trademarks, or logos without the prior written consent of their owner may be subject to the penalties provided for in Articles L.713-2 et seq. of the French Intellectual Property Code.

Access to the Site grants Users a personal, non-exclusive right to private use of the Site. No other license or right other than the right to view the Site is granted to anyone with regard to intellectual property rights.

PERSONAL DATA

COLLECTION AND PROCESSING OF USERS’ PERSONAL DATA

Users are informed that their personal data may be collected via the Site in accordance with Article 32 of Law 78-17 of 6 January 1978 on data processing, data files and individual liberties (hereinafter the “Data Protection Law”), in particular with regard to:

• Any online requests for product documentation;
• Any requests for financial, accounting, commercial, technical or legal information;
• Any requests for support or advice;
• Any requests to register for a seminar, trade show or webinar;
• Any unsolicited employment applications or applications sent in response to a job or traineeship ad.

In this respect, by filling out a contact form or registering on the Site, Users acknowledge that they are voluntarily providing Ilex with their personal data (in particular their surname, first name, email address and contact information).

PURPOSE OF DATA PROCESSING

The personal data collected on the site will be processed by Ilex in its capacity as processing manager within the meaning of the Data Protection Law, for the following purposes:

• advertising and communication purposes, in particular to inform Users of new Ilex products and services, of the latest company news, of upcoming events, trade shows, seminars or webinars, etc.;
• for commercial or marketing purposes, to foster client relations with Users, to gain an understanding of Users’ commercial needs and/or to offer them a solution to meet their needs;
• for transmitting requests to the relevant department(s) for handling;
• for answering applications sent in response to job or traineeship advertisements or to unsolicited applications;
• for contacting Users by email or by telephone in order to meet their needs or to keep them informed of topics that interest them or may interest them;
• for statistical purposes by the Ilex marketing department.

RECIPIENTS

The personal information collected on the Site is intended for Ilex only.

Specifically, the personal data collected through contact forms is intended for employees in the Ilex marketing department and, where appropriate, employees in the department(s) directly concerned by the User’s request.

The personal data collected in connection with responses to job and traineeship advertisements on the Site and to unsolicited applications are intended exclusively for the individuals in charge of recruitment at Ilex.

In any event, the personal data collected by Ilex on the Site is exclusively for internal use and will not be communicated, transferred or disclosed to third parties without the express written consent of the concerned User, unless otherwise required by legal, administrative or judicial constraints.

Notwithstanding the above, the Site Users grant Ilex the right to share the collected information with its sub-contractors, partners and suppliers if necessary for the fulfilment of the aforementioned purposes. In such an event, the sub-contractors, partners and/or suppliers will be informed of any corrections and/or deletions of personal information.

SECURITY OF PERSONAL DATA

Ilex shall not sell, rent, transfer or market Users’ data, in any form whatsoever, to a third party without having obtained their prior consent.

Ilex shall take all appropriate safeguards with regard to the nature of the data and the risks of processing to maintain the security of the personal data collected via the Site and, in particular, shall prevent them from being deformed, damaged, or from being accessed by unauthorised third parties.

RETENTION PERIOD

The personal data and/or information relating to Users’ browsing of the Site will not be retained beyond the time necessary for the purposes of the processing in question.

RIGHT TO ACCESS, MODIFY, RESTRICT PROCESSING, DATA PORTABILITY, OBJECT AND ERASE

In application of the Data Protection Law, Users have the right to access, modify, restrict processing, copy/transfer and erase their personal data and may, for legitimate reasons, object to the processing of their data. Users also have the right to object to their personal data being used for direct marketing or commercial prospection purposes.

Users wishing to exercise such right(s) shall send an email to Ilex’s DPO at dataprivacy@ilex-international.com by proving their identity.

ACCURACY AND COMPLETENESS OF INFORMATION

All information provided to Users of the Site is provided in an “as-is condition” without any guarantees of any kind, whether expressly or impliedly, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Ilex shall make every possible effort to ensure the accuracy of the information available on the Site, and to ensure that such information is kept up to date, at the time it is placed online.

However, it makes no representations or warranties as to the truth, accuracy or completeness of any information made available to Site Users and reserves the right to modify or correct, at any time and without prior notice, the contents of the information and documents published on the Site.

Ilex accepts no liability for any vagueness, inaccuracy, omission, or modification concerning the information available on the Site, in particular in the case of changes in statutory or legal provisions, or for any damages resulting from unauthorised access by a third party, in particular where it might entail a change in the information made available on the Site.

In this regard, Ilex may not be held liable in connection with the contents of these pages and for the use that might be made by the User of such information by Users, namely, as regards any direct or indirect damage caused by access to or use of the Site by any party or by the inability to access such Site.

NON-CONTRACTUAL INFORMATION

The information provided on these pages is non-contractual and cannot be regarded as offers of services or products.

They do not constitute a representation, warranty or commitment from Ilex concerning the products and services presented.

Ilex may not be held liable for any decision made on the basis of information contained on the Site, or for the use that might by made of such information by third parties.

Users wishing to benefit from one or more of the services and/or one or more of the products presented on the Site are encouraged to contact a relevant professional for more information on the commercial and contractual conditions applicable to such product(s) and/or service(s).

MANAGEMENT OF COOKIES

Users are hereby informed that Ilex may use cookies in order to record information relating to the browsing habits of their equipment (computers, tablets, smartphones, etc.) (hereinafter “Terminal” or “Terminals”) on the Site (pages viewed, date and time of connection, etc.).

The primary aim of the cookies issued on the Site is to:

• improve how the Site functions;
• facilitate User access to the services offered by Ilex;
• compile statistics;
• measure traffic to the Site.

Ilex is unable to identify Users personally on the Site by means of the Cookies, but the latter make it possible to collect general information on Users’ visit to the Site. In any event, Ilex undertakes not to disclose the contents of these cookies to third parties, unless ordered by a judicial or administrative authority.

All Users have the opportunity to detect the existence of Cookies on their Terminal and, where necessary, to delete them.

Users can manage their preferences concerning cookies in order to delete cookies or prevent them from being stored on their Terminal by means of their browsing software, by referring to the help menu of their web browser (Microsoft Internet Explorer, Apple Safari, Google Chrome, Mozilla Firefox, Opera, etc.).

Users are, however, informed that if they modify their settings with respect to the use of cookies, certain services offered may no longer be accessible to Users or may fail to function, for which Ilex may not be held liable.

HYPERTEXT LINKS

The Site may contain links to the websites of Ilex partners or third parties.

Ilex has no control over these sites and, as a consequence, accepts no responsibility with regard to the content of these Sites and the way in which they may be used by Users. In addition, Users are advised to verify the terms of use and the privacy policies of these sites before providing them with personal information.

Users shall not put in place hypertext links to the Ilex site without Ilex’s prior express consent.

Requests to create a hypertext link may be made By filling out the contact form made available on the Site.

Ilex reserves the right to have such hypertext links deleted without having to give any justification for such deletion.

LIMITATION OF LIABILITY

Ilex cannot be held liable under any circumstances for any direct, indirect, incidental, special or consequential damage, whether material or immaterial, or for any damages for loss of earnings, operating loss, loss of income, loss of data or loss of programs incurred by Users or by a third party, for claims involving contractual liability or for tort claims, arising as a result of accessing the Site, the Site content, or the use of the Site and/or sites linked to it.

In particular, Ilex accepts no liability for damage or loss of any kind arising from:

• a typographical or layout error, vagueness, inaccuracy or omission in the information available on the Site; unauthorised access by a third party having entailed a change in the information, documents, or components made available on the Site;
• anyone’s access to the Site or inability to access such Site;
• a failure, malfunction or incompatibility of Users’ computer equipment;
• an interruption of network access to the Site, the total or partial unavailability of the Site resulting, in particular, from telecommunications operations;
• the distribution or introduction of computer viruses, Trojan horses or worms through the Site and liable to affect Users’ computer equipment;
• any credit given to any information coming directly or indirectly from the Site, the use of the Site or the use of a product to which the Site refers.

Ilex accepts no express or implied liability in the event that the use of the information on the Site infringes a patent, copyright or a registered trade mark.

In addition, the Site may contain information made available by external companies or hypertext links to other sites that were not developed by Ilex.

The existence of a hypertext link on this Site to another site does not constitute a validation of such site or of its content by Ilex. Consequently, Ilex cannot be held liable for any information, opinions and recommendations provided by third parties.

The present Site is accessible twenty-four (24) hours a day, seven (7) days a week. Users are informed that Ilex reserves the right to suspend or interrupt access to the Site or to a portion of the services offered on the Site, at any time, without prior notice, and it may not be held liable in this regard, in particular for maintenance, for a case of force majeure or unforeseeable events within the meaning of the case-law of the French courts and tribunals, for difficulties relating to the structure of communication networks or other technical difficulties.

Users are also reminded that the confidentiality of correspondence cannot be guaranteed on the network and that each web user is responsible for taking all appropriate measures to protect their own data and/or software from contamination by any viruses that may be circulating on the internet.

APPLICABLE LAW/JURISDICTION

The Site and its content are subject to French law. Any dispute or litigation relating thereto must be brought exclusively before the competent French courts.

Any application of conflict-of-law rules that may restrict the full application of French law is hereby excluded. As a consequence, French law applies to all individuals browsing the Ilex site and that use all or part of its functionality.
